These Terms of Use (the "Terms") govern your access to and use of the chemiadiscovery.com website (the "Site"), operated by Chemia Discovery Inc. ("Chemia," "we," "us," or "our"), located at 800 Square-Victoria (Ax.c), unit 373, Montréal, Québec, H3C 0B4, Canada. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Scope: this website only

These Terms apply to the public marketing and informational website at chemiadiscovery.com, including its blog pages and the interactive demo features described below. They do not govern your use of the Elixir platform, our software service for registered users. Use of the Elixir platform is governed by the Elixir Terms of Service and, where applicable, by a separately signed agreement between your organization and Chemia. If you use the Elixir platform, the Elixir Terms of Service and any signed agreement take precedence over these Terms for that use.

2. Interactive demo features

Parts of the Site include interactive demonstration features, such as the "Ask Elixir" demo box. These features are provided for evaluation and illustration purposes only.

When you type a question or other content into a demo feature, your submission is sent to a Chemia demo service and processed to generate a response.
Do not submit confidential information, trade secrets, or personal information through a demo feature.
Demo outputs are illustrative examples of the technology. They are generated automatically, are not verified, and are provided without any warranty. They do not constitute scientific, engineering, or professional advice, and you should not rely on them for any decision.
We may modify, limit, suspend, or remove demo features at any time without notice.

3. Acceptable use

You agree to use the Site only for lawful purposes. In particular, you agree not to:

scrape, harvest, or bulk-extract content or data from the Site, including by automated means;
interfere with or disrupt the operation or security of the Site, or attempt to gain unauthorized access to it or to related systems;
misrepresent your identity or falsely claim an affiliation with Chemia.

4. Intellectual property

All content on the Site, including text, graphics, logos, images, page design, and downloadable materials, is owned by Chemia Discovery Inc. or its licensors, unless stated otherwise. The "Elixir" and "Chemia" names and marks, including "Chemia Discovery," are marks of Chemia Discovery Inc. You may view and share pages of the Site for personal, non-commercial reference. Any other reproduction, redistribution, or creation of derivative works requires our prior written permission. Nothing in these Terms grants you any license to Chemia's intellectual property, by implication or otherwise.

5. Third-party links

The Site may contain links to third-party websites and services (for example, our LinkedIn page). These links are provided for convenience only. We do not control websites we do not operate, and we are not responsible for their content, availability, or practices. A link does not imply endorsement.

6. No warranty

The Site and the information on it, including descriptions of Elixir's capabilities, are provided "as is" and "as available," for general informational purposes. We make reasonable efforts to keep information accurate and current, but we do not warrant that it is complete, error-free, uninterrupted, or suitable for any particular purpose. Nothing on the Site constitutes a binding offer, a technical specification, or professional advice. Any commercial engagement with Chemia is governed separately by its own written agreement.

7. Limitation of liability

The Site is made available free of charge. To the fullest extent permitted by applicable law, Chemia Discovery Inc. and its directors, officers, and employees are not liable for any damages, whether direct, indirect, incidental, or consequential, arising from your use of, or inability to use, the Site or its content. Nothing in these Terms limits any liability that cannot be excluded under applicable law.

8. Privacy

Your use of the Site is also subject to our Website Privacy Policy, available on this site, which explains what information is collected on the Site and how it is used.

9. Changes to these terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date above. Your continued use of the Site after a revision takes effect means that you accept the revised Terms.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Any dispute arising from these Terms or from your use of the Site is subject to the exclusive jurisdiction of the courts sitting in the judicial district of Montréal, Québec.

11. Language

These Terms are published in English and in French. The French version, "Conditions d'utilisation du site Web," is available on this site.
